1. Acceptance of Terms

By accessing or using SmartChat Solutions (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to all the terms, you may not access or use the Service.

SmartChat Solutions is operated by SmartChat Solutions. These terms apply to all users of the Service, including business owners, their staff, and any other parties who interact with our platform.

2. Services Provided

SmartChat Solutions provides AI-powered WhatsApp automation services to businesses, including but not limited to:

• AI-powered WhatsApp conversation handling and response generation.
• Lead capture, management, and qualification.
• Automated follow-up messaging and appointment scheduling.
• Dashboard and analytics for monitoring conversations and performance.
• Onboarding and setup assistance for WhatsApp Business API integration.
• Website development services with WhatsApp integration (where separately agreed).

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to customers.

3. User Responsibilities

As a user of the Service, you agree to:

• Provide accurate and complete information during registration and onboarding.
• Maintain the confidentiality of your account credentials.
• Ensure that your use of the Service complies with all applicable laws and regulations.
• Obtain necessary consent from your customers to use WhatsApp automation for communication.
• Review and approve AI-generated responses and configurations to ensure they accurately represent your business.

4. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of these terms. Prohibited activities include:

• Using the Service to send spam, unsolicited messages, or harass individuals.
• Using the Service to collect personal data without appropriate consent.
• Attempting to reverse engineer, decompile, or hack the Service.
• Using the Service in a way that violates Meta's WhatsApp Business API terms or policies.
• Uploading or transmitting viruses, malware, or any harmful code.
• Interfering with or disrupting the integrity or performance of the Service.

5. Service Availability

We strive to provide reliable and uninterrupted service. However, we do not guarantee that the Service will be available at all times without interruption. Factors beyond our control, including but not limited to:

• Meta (WhatsApp) API outages or policy changes.
• Third-party AI provider service interruptions.
• Internet connectivity issues.
• Planned maintenance periods.

We will make reasonable efforts to notify users in advance of planned maintenance and to restore service promptly after any unplanned interruption.

6. Payment and Billing

Subscription fees are billed monthly in advance. All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to change our pricing with 30 days' notice.

Late payments may result in suspension or termination of the Service. Users are responsible for providing accurate billing information and updating it as needed.

All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless otherwise stated.

7. Intellectual Property

The Service, including its software, algorithms, dashboard, branding, and documentation, is the property of SmartChat Solutions and is protected by applicable intellectual property laws.

You retain all rights to your business data, customer conversations, and any content you upload or configure within the Service. We claim no ownership over your data.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, SmartChat Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

This includes, but is not limited to, loss of business, loss of revenue, loss of data, or interruption of service, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from the use of the Service shall not exceed the total amount paid by you for the Service in the 12 months preceding the claim.

9. Termination

Either party may terminate this agreement at any time with written notice. Upon termination:

• Your access to the Service will be revoked.
• Your data will be retained for 30 days to allow for export.
• After 30 days, your data will be securely deleted unless retention is required by law.

We reserve the right to suspend or terminate your access to the Service immediately if you violate these terms or engage in any activity that may harm the Service or other users.
